Contract Review and Drafting

Contracts and Agreements

Drafting contracts can be an art form for attorneys. A well-written, tight and comprehensive contract requires a meticulous approach and a forward thinking mind. Each clause must be carefully crafted to mitigate risks to you and address potential issues that may arise in the future. From defining the scope of services/goods to specifying payment terms, delivery schedules, and dispute resolution mechanisms, every aspect of the agreement must be clearly articulated to leave no room for ambiguity or misunderstanding.

We have years of experience representing clients in contract negotiations and drafting agreements tailored to our clients’ needs. Whether it is a teaming agreement under the federal acquisition regulations or a simple independent contractor agreement, we can help.

Contract Review and Negotiations

Are you being offered a document to sign? The person or company giving it to you supposedly explained what it is that you’re signing, but when you read it, it’s hard to understand and doesn’t seem to match what you were told. Give our office a call and we can review the document and advise you how to proceed. If you sign a contract without fully understanding the terms and conditions, you’re going to have a hard time getting out of it and the argument “I didn’t know what I was agreeing to” is a tough one to make to a court. Moreover, what you were told and what is in the contract are two different things and usually what matters for evidentiary purposes is what is in writing.

Don’t get yourself into a situation where you are bound to an unfavorable contract for years and years. Signing a contract with an attorney could mean that you are giving up rights and being offered an amount of compensation that is a fraction of what you’re actually entitled to. So before you sign any document, call our office and we’ll assist you in negotiating a contract that is fair, reasonable, and considers your interests.

We’ve assisted businesses in creating contracts for independent contractors and vendors. We’ve reviewed and negotiated contracts on behalf of clients dealing with the Navajo Nation Department of Justice, and we even helped grazing permit holders negotiate consent agreements with companies seeking to use Navajo grazing lands for power lines and towers. What can we assist you with?

Contracts under Tribal Law

When it comes to legal matters arising on Indian reservations, most attorneys are lost and stay away from any cases involving tribal law. Who can blame them? When you’re dealing with legal matters on an Indian reservation, most likely it will require knowledge of the tribe’s laws and principles of federal Indian law. For example, did you know that the Navajo Nation has its own laws that govern contracts? Contract law in the Navajo Nation is governed in large part by Dine bi beehaz’aanii or the common law. Our attorneys are knowledgeable in Navajo common law and contract law. We can assist you in contract matters that call upon the application of Navajo contract law.
